This document sets out the official unified benchmark fee schedule of GUOZUN CATHAY ASSOCIATES Russia Office for 2026. All quoted prices exclude value-added tax (VAT) of the Russian Federation (current VAT rate: 20%). Payments are accepted in multiple freely convertible currencies including Russian roubles (RUB), Renminbi (RMB), US dollars (USD) and euros (EUR).
SECTION 1: COMPLIANT FEE ARRANGEMENTS
This fee structure strictly complies with the Federal Law of the Russian Federation On Advocate Activity and the practice and fee guidelines of the Federal Chamber of Advocates of the Russian Federation. Taking into account the cross-border service practices of Chinese-funded enterprises, we have customised five standardised fee models that fully meet Russian judicial regulatory requirements and international commercial legal service standards.
1.1Fixed Fee Arrangement
Applicable to basic legal services with standardised procedures and accurately quantifiable workload. The total fee is fixed upon contract execution with no additional charges thereafter. It covers standardised matters such as commercial entity registration, basic compliance filing and standard document processing.
1.2Hourly Rate Arrangement
Applicable to major cross-border projects, complex dispute cases and customised compliance consulting. Fees are charged based on the effective working hours of advocates. Detailed time records are provided on a monthly basis, ensuring full verifiability and traceability throughout the engagement.
1.3Percentage of Subject Matter Fee Arrangement
Applicable to property-related matters such as cross-border M&A, asset transactions and large-value commercial claims. Tiered fees are charged based on the value of the subject matter, in line with the general practice of the Russian commercial legal service industry.
1.4Contingency Fee Arrangement
Within the framework of Russian advocate practice rules, this arrangement applies exclusively to civil and commercial property cases such as debt collection, commercial recovery and tort claims. Fees are conditional on fund recovery or a successful outcome, and the charging ratio shall not exceed 30% of the actual recovered amount.
1.5Annual Retainer for Legal Counsel
Provides enterprises with full-scope annual legal support for a fixed annual service fee. Clients are assigned an exclusive team proficient in Chinese, Russian and English, with a 48-hour priority response mechanism, covering full-dimensional compliance and risk prevention for daily enterprise operations.
SECTION 2: HOURLY RATE STANDARDS FOR ADVOCATES
All advocates of GUOZUN CATHAY ASSOCIATES Russia Office hold valid practising certificates issued by the Federal Chamber of Advocates of the Russian Federation and are qualified to appear in courts at all levels across Russia. The core team is proficient in the application of Sino-Russian dual-jurisdiction laws and delivers seamless services in Chinese, Russian and English. Senior partners hold practising qualifications across multiple Eurasian jurisdictions and specialise in core areas such as cross-border investment, international commerce and compliance regulation. A tiered pricing system is implemented.
The 2026 unified hourly rate range is 12,000 RUB – 45,000 RUB per hour, covering all levels: junior practising advocates, intermediate specialist advocates, senior partners, and cross-border experts from the Beijing headquarters. The final rate is determined taking into account case complexity, specialisation fit, project urgency and team configuration.
Additional Billing Provisions
(a)A travel and fieldwork surcharge of 25% to 50% applies for work conducted outside the territory of the Russian Federation;
(b)A 50% expedite surcharge applies for 48-hour urgent response and work performed on public holidays;
(c)Rates are increased by 20% for Eurasian cross-border matters requiring multi-jurisdictional coordination;
(d)Rates are increased by 15% for dedicated multilingual court hearing services;
(e)Rates are increased by 10% to 20% for specialised financial regulatory compliance matters.
SECTION 3: DETAILED FEE STANDARDS FOR CORE PRACTICE AREAS
This schedule sets out fee benchmarks for the core practice areas of GUOZUN CATHAY ASSOCIATES Russia Office, tailored to the essential needs of Chinese-funded enterprises investing and operating in Russia. All services are aligned with Russia’s local legal system and the requirements of relevant Russian federal regulatory authorities. Details are as follows:
3.1 Sino-Russian Cross-border Investment and M&A Legal Services: 15,000 RUB – 850,000 RUB
(a)Full-process legal services for Russian regional greenfield investment, cross-border M&A, equity restructuring and joint venture cooperation;
(b)Full-process support for investment structure design, legal due diligence, transaction document drafting and negotiation, foreign investment access filing and response to regulatory review;

(c)Drafting, review, negotiation and full-process risk prevention for commercial contracts;

(a)Compliance services for cross-border credit financing, syndicated loans, guarantee and credit enhancement, financing and refinancing structure adjustment, and financial leasing;
(b)Full-process legal services for the establishment, filing, investment and exit of venture funds and mutual funds;
(c)Specialised services for domestic and overseas listing guidance, bond issuance and asset restructuring of enterprises;
(d)Compliance support for Chinese-funded banks and financial institutions operating in Russia, and specialised services for cross-border capital flow compliance;
(e)Specialised legal services for compliance and risk prevention in emerging financial sectors.
3.4 Tax and Compliance Risk Management Legal Services: 12,000 RUB – 680,000 RUB
(a)Specialised services for Russian local and cross-border tax planning, transfer pricing compliance, tax risk prevention and application of Sino-Russian tax treaties;
(b)Response to tax inspections, tax administrative reconsideration, tax dispute mediation and litigation representation;
(c)Establishment of anti-corruption and anti-commercial bribery compliance systems, and Russian data security and personal information protection compliance services;
(d)Russian export control, cross-border trade compliance, enterprise compliance audit and system construction;

3.5 Intellectual Property and Digital Compliance Legal Services: 3,500 RUB – 350,000 RUB
(a)Registration application, recordal filing and global layout planning for trademarks, patents, copyrights and trade secrets;
(b)Full-process agency services for IP infringement investigation, administrative complaints and rights protection litigation;
(c)Specialised services for cross-border brand protection and e-commerce platform intellectual property compliance;
(d)IP risk prevention and full-process services in technology import and export, R&D cooperation and technology transfer licensing;
(e)Personal data and big data protection, legal framework design for IT projects, e-commerce compliance and specialised legal support for sci-tech innovation projects.
3.6 Commercial Dispute Resolution and Cross-border Award Enforcement Legal Services: 18,000 RUB – 5,200,000 RUB
(a)Full-process representation in civil, commercial and administrative litigation before courts at all levels in Russia;
(b)International commercial arbitration and mediation services, covering case representation before leading arbitration institutions in Russia and worldwide;
(c)Specialised services for the cross-border recognition and enforcement of court judgments and arbitral awards between China and Russia;
(d)Emergency response to corporate emergencies, response to regulatory investigations and legal support for crisis communications;

Special Note: For cases involving major cross-border economic crimes, transnational financial violations and serious criminal offences, there is no fixed upper fee limit. A bespoke quote will be provided based on case complexity, scale of cross-border coordination and evidence collection costs.
3.7 Real Estate and Infrastructure Construction Legal Services: 20,000 RUB – 780,000 RUB
(a)Full-process legal services for land use right acquisition, real estate transactions, leasing, mortgage and property right registration;
(b)Tendering and bidding compliance for construction projects, engineering contract drafting and negotiation, and engineering claims and counterclaims;
(c)Customisation and full-cycle legal services for various engineering contracts including EPC, EPCM and FIDIC contracts, and resolution of construction disputes;
(d)Specialised legal support for key infrastructure and real estate projects in energy, municipal administration, transportation and other sectors.
3.8 Liquidation and Insolvency Legal Services: 10,000 RUB – 420,000 RUB
(a)Full-process legal support for enterprise liquidation and insolvency proceedings, including risk analysis and procedural compliance guidance;
(b)Protection of creditors’ and debtors’ rights and interests, and specialised legal services for insolvency reorganisation and composition;
(c)Representation in disputes related to liquidation and insolvency, and asset disposal compliance services;
(d)Supporting legal services for enterprise deregistration and business suspension.
3.9 Labour and HR Compliance Legal Services: 3,000 RUB – 260,000 RUB
(a)Customisation of Chinese-Russian bilingual employment documents compliant with Russian labour law, and compliance review of labour contracts, employee handbooks and internal rules;
(b)Cross-border employment arrangements for Chinese-funded enterprises, legal planning for seconded Chinese and foreign personnel, and social security and individual tax compliance consulting;
(c)Economic redundancy procedures, compliant dismissal operations, and labour dispute mediation and arbitration/litigation representation;
(d)Development of a full-process HR compliance system and specialised training for enterprises;

3.10 Specialised Legal Services for Key Industries: Customised project-based quotes
Combined with Russia’s industrial characteristics and priority areas of Sino-Russian investment cooperation, we provide tailored industry-specific legal services covering core sectors including energy and minerals, infrastructure construction, processing and manufacturing, cross-border e-commerce, digital economy, agriculture, forestry, cultural tourism and hospitality, biomedicine, shipping and logistics. The final quote is determined based on industry expertise barriers, project complexity, service scope and duration.
SECTION 4: KEY FACTORS IMPACTING LEGAL FEES
4.1 Cross-border compliance complexity: Matters involving dual-jurisdiction application of Sino-Russian laws, cross-border evidence collection and multi-party cross-jurisdictional coordination will be subject to fee uplifts commensurate with their complexity.
4.2 Industry expertise barrier: Fees for highly specialised areas such as financial regulation, cross-border investment, energy and minerals, and intellectual property are higher than those for basic civil and commercial legal services.
4.3 Case handling difficulty: Fees for matters including major litigation and arbitration, complex cross-border enforcement, dedicated regulatory response and transnational evidence collection are subject to dynamic adjustment.
4.4 Service urgency: Expedite fees will be strictly charged in accordance with the standards for urgent matter commencement and work on public holidays, with no room for negotiation.
4.5 Engagement model: A packaged annual legal counsel retainer delivers an overall cost reduction of 15%–25% compared with ad-hoc single-service engagements.
4.6 Team configuration: Fees will be adjusted accordingly for matters handled by a multi-expert team, with cross-border coordination from the Beijing headquarters, or supported by a dedicated multilingual team.
4.7 Case outcome risk: The fee percentage for contingency fee arrangements is directly correlated with the likelihood of success, difficulty of fund recovery and service duration.
SECTION 5: ADDITIONAL THIRD-PARTY DISBURSEMENTS FOR BUDGETING
The following expenses are separate from legal service fees and shall be reimbursed at actual cost in accordance with official Russian rates or actual expenditure. Our firm charges no markup or agency premium for these items.
5.1 Government statutory fees: Including commercial registration fees, visa application fees, court filing fees, arbitration fees, official intellectual property fees, licence registration fees, etc.
5.2 Notarisation and authentication fees: Including Russian local notarisation and Apostille services; Sino-Russian consular authentication fees are settled at official rates on a reimbursement basis.
5.3 Professional translation fees: Including Chinese-Russian / Chinese-English translation of legal documents and simultaneous interpretation for court hearings, charged per page / per word in line with Russian industry standards.
5.4 Expert service fees: Including judicial appraisal, industry expert consultation and third-party due diligence fees, reimbursed at actual cost.
5.5 Field travel expenses: Including transportation, accommodation and fieldwork allowances for domestic and overseas case handling, reimbursed against valid receipts.
5.6 Financial transaction fees: Bank charges arising from cross-border transfers and currency conversion shall be borne by the client.
5.7 Other third-party fees: Including fees for auditing, valuation, compliance testing and other professional service providers, settled at actual contracted cost.
SECTION 6: IMPORTANT NOTICE
All fee standards set out in this document are official benchmark reference rates for 2026 and do not constitute a binding offer or contractual obligation. The final fee for all legal services shall be specified in the written engagement contract signed by both parties, determined based on the client’s specific requirements, case facts, scope of services and project complexity.
This fee schedule is formulated in strict compliance with relevant laws and regulations governing advocate practice in the Russian Federation and is subject to the supervision and administration of the Federal Chamber of Advocates of the Russian Federation.
