This document sets out the official unified fee schedule of Guozun Cathay Associates Venezuela Office for 2026. All quoted fees exclude applicable taxes and duties within Venezuela, and settlement is available in multiple freely convertible currencies: United States Dollars (USD), Renminbi (CNY) and Venezuelan Sovereign Bolívares (VES).
1. Compliant Fee Arrangements
All fee arrangements strictly comply with the Venezuelan Law on the Legal Profession and the practice rules and fee guidelines of the Venezuelan Bar Association. Tailored to accommodate the cross-border service conventions of Chinese enterprises, the five standardised fee models below fully meet Venezuela’s judicial and regulatory requirements and international commercial legal service standards:
1.1 Fixed Fee Basis
Applicable to routine legal services with standardised processes and precisely quantifiable workloads. The total service fee is fixed upon signing of the retainer, with no hidden additional charges. This model covers standardised matters such as the establishment of commercial entities, basic compliance filings, and the drafting and processing of standard legal documents.
1.2 Hourly Rate Basis
Applicable to major cross-border investment projects, complex dispute cases, customised compliance system establishment and specialist advisory work. Fees are charged based on the billable hours of legal advisers, with detailed, traceable time records provided monthly for full transparency and auditability throughout the service period.
1.3 Ad Valorem Fee Basis
Applicable to property-related legal matters such as cross-border mergers and acquisitions, asset transactions and high-value commercial claims. Fees are charged on a tiered basis according to the value of the subject matter of the case or project, in line with prevailing practice for high-end commercial legal services in Latin America.
1.4 Contingency Fee Basis
Permitted within the framework of Venezuelan legal practice rules, and applicable exclusively to cross-border debt recovery, commercial indemnity claims and tort compensation cases. Fees are payable only upon successful recovery of funds or a favourable judgment. The fee percentage shall not exceed 30% of the amount actually recovered.
1.5 Annual Retainer Service
Provides enterprises with comprehensive year-round legal support for a fixed annual fee. Clients are assigned a dedicated bilingual (Chinese-Spanish) service team with a 48-hour priority response mechanism, covering full-spectrum compliance management and risk prevention for the client’s day-to-day operations in Venezuela.
2. Hourly Rate Schedule for Practising Lawyers
All practising lawyers at the Venezuela office hold valid practising certificates issued by the Venezuelan Bar Association. The core team possesses expertise in the application of both Chinese and Venezuelan law, and is capable of providing seamless bilingual (Chinese-Spanish) services. Senior partners hold practising qualifications across multiple Latin American jurisdictions, with deep specialisation in core areas including cross-border investment, energy and minerals, infrastructure engineering and international commercial compliance. A tiered pricing system is applied across all staffing levels.
For 2026, the standard hourly rate range is USD 180 – USD 580 per hour, covering all tiers: junior practising lawyers, mid-level specialist lawyers, senior partners, and cross-border specialists from the Beijing head office. The final applicable rate will be determined based on a combination of factors, including the complexity of the case or project, alignment with specialist practice areas, urgency of service requirements, and team composition.
2.1 Supplementary Charging Provisions
The following supplementary charges shall apply: (a) A travel and fieldwork surcharge of 25% to 50% for work performed outside Venezuela; (b) A 50% urgent service premium for 48-hour expedited response, and work undertaken on public holidays or outside standard business hours; (c) A 20% rate uplift for cases requiring cross-jurisdictional collaboration across multiple Latin American jurisdictions; (d) A 15% rate uplift for dedicated bilingual court representation services; (e) A 10% to 25% rate uplift for specialist compliance cases in respect of energy and mineral regulation, and foreign exchange control.
3. Fee Schedule for Core Practice Areas
This fee schedule focuses on the core practice areas of the Venezuela office, tailored to the essential needs of Chinese enterprises investing and operating in Venezuela. It is aligned with Venezuela’s regulatory requirements governing foreign investment, energy, labour and taxation, and all services are delivered in full compliance with Venezuela’s local legal system and judicial practice. 4. Key Factors Affecting Legal Fees
(a) Complexity of cross-border compliance: For cases or projects involving the application of both Chinese and Venezuelan law, cross-border evidence collection, collaboration between multi-jurisdictional entities, or foreign exchange control compliance, fees will be uplifted according to the difficulty of the service.
(b) Industry specialist barriers: Fees for highly specialised areas such as energy and mineral development, infrastructure construction and cross-border financial regulation are higher than those for basic civil and commercial legal services.
(c) Difficulty of case/project handling: Fees for matters such as major litigation and arbitration, complex cross-border enforcement, specialist regulatory response and concession right acquisition will be dynamically adjusted based on actual difficulty.
(d) Urgency of service: Urgently commenced projects, and work carried out on holidays or outside working hours, will strictly incur an urgent service premium in accordance with the standard, with no room for negotiation.
(e) Engagement model: Bundled engagement under an annual retainer agreement reduces overall service costs by 15% to 25% compared with separate purchase of individual services.
(f) Service team composition: Fees will be adjusted accordingly for cases handled jointly by multi-disciplinary experts, with cross-border coordination from the Beijing head office, or supported by a dedicated bilingual team.
(g) Case performance risk: The fee percentage for contingency fee arrangements is directly linked to the probability of success, difficulty of fund recovery, service duration and jurisdiction of enforcement.
5. Additional Third-Party Costs to Be Budgeted
The following costs are separate from legal service fees and shall be reimbursed at actual cost in accordance with official Venezuelan standards or actual expenditure. The firm charges no markup for agency services in respect of these items:
(a) Official government fees: Including commercial entity registration fees, visa application fees, court litigation fees, arbitration fees, IP official fees, licence filing fees, and fees related to concession right applications;
(b) Notarisation and authentication fees: Including local Venezuelan notarisation and Apostille authentication; China-Venezuela consular authentication shall be settled at actual cost in accordance with official standards;
(c) Professional translation fees: Including Chinese-Spanish / Chinese-English translation of legal documents and simultaneous interpretation for court hearings, charged per assignment or per word in accordance with Venezuelan industry standards;
(d) Expert service fees: Including fees for forensic appraisal, industry expert consultation, third-party due diligence agencies and technical testing institutions, settled at actual expenditure;
(e) Field travel expenses: Including transportation, accommodation and fieldwork allowances for onshore and offshore case handling, reimbursed at actual cost against valid receipts;
(f) Financial handling fees: Bank charges arising from cross-border transfers and currency exchange shall be borne by the client;
(g) Other third-party costs: Service fees from professional institutions such as audit, valuation and environmental compliance testing, settled at actual cost of engagement.
6. Important Notice
All fee standards set out in this document are official benchmark reference prices for Guozun Cathay Associates Venezuela Office for the 2026 financial year, and shall not constitute a binding offer for services. The final fee for all legal services shall be determined by the written retainer agreement signed by both parties, based on the client’s specific requirements, the actual circumstances of the case or project, the scope of services and the level of complexity.
