Procedure for Chinese Nationals to Establish a Company in Poland

Procedure for Chinese Nationals to Establish a Company (Using SP. ZO.O. as Example)

 

1. Domestic Preparation: ODI Filing + Apostille Certification of Documents

Complete China's ODI (Outbound Direct Investment) filing for overseas investment.

Prepare shareholder/director passports and proof of address (legal entity shareholders require business license), notarized in China + Apostille certification + Polish translation.

 

2. Company Name Approval

Conduct name verification on the Polish National Court Register (KRS) website. The name must include **“SP. ZO.O”**.

Approval period: 1-2 business days

 

3. Drafting and Signing Articles of Association

Define company fundamentals, registered capital, shareholder rights/obligations, etc. All shareholders must sign.

Non-EU resident shareholders unable to attend may sign via video notarization.

 

4. Paid-in Capital Deposit

Open a temporary bank account in Poland and deposit a minimum of PLN 5,000

Obtain a bank fund confirmation letter

 

5. Court Registration + KRS Number Acquisition

Submit registration application to KRS to obtain KRS number (company's unique identifier)

Pay registration fee of approximately PLN 600. Processing time: 2-4 weeks

 

6. Tax + Social Security + Statistical Registration

Register with the Polish Tax Office to obtain Tax Identification Number (NIP) and VAT number (automatic completion).

Register with the Polish Social Insurance Institution (ZUS) to pay social security for employees.

Register with the Polish Central Statistical Office to obtain Statistical Identification Number (REGON).
